Billr Pty Ltd ABN 35 672 565 641 ("Billr", "we", "us", or "our") operates the website found at https://billr.com.au and provides services through this platform to you, our customer ("Customer", "you", or "your"), in line with these terms and conditions (the "Terms"), alongside any addendums.
Engaging with our website, registering for a Billr account, or utilising our services or platform, means you are consenting to be bound by these Terms, which include our privacy policy and any operational rules as amended over time. If you do not agree with these Terms, you should not use our platform, services, or issue any payment instructions to Billr.
These Terms are in addition to any existing agreements you might have with external parties, such as card providers, banking institutions, rewards programs, or nominated beneficiaries of your transactions.

Definitions for Billr Terms and Conditions

In the context of these Terms, the following definitions apply unless the context dictates otherwise:
  • ABN: Refers to the Australian Business Number.
  • Authorised User: This is an individual you have given permission to operate your Billr account and execute Payment Orders on your behalf. This could be your employee or an agent acting under your direction.
  • Linked Bank Account: A bank account that you have connected to your Billr account and authorized for use via our platform.
  • Business Day: Any day that is not a Saturday, Sunday, or a public holiday across Australia.
  • Qualified Transaction: This is a transaction processed through our platform that may qualify you for Billr Points. It excludes transactions to your own accounts, non-business-related transactions, as well as any transactions that are voided, contested, refunded, or reversed.
  • Employer Payment Service: A service we provide that facilitates the processing of employment-related payments from employers to employees, governed by the terms detailed in a supplementary annexure.
  • Wage Payment: Encompasses all forms of employment compensation, including salaries, wages, bonuses, severance payments, notice, and leave payments, along with any other employee entitlements.
  • Charges: Any fees that you are obligated to pay Billr for the use of our services.
  • Event of Force Majeure: Refers to any event beyond our reasonable control, such as natural disasters, pandemics, governmental actions, interruptions from third parties, or any digital interference that disrupts the platform or services.
  • Billr Account: Your registered online account with Billr, which grants you access to our platform and services.
  • Intellectual Property Rights: Encompasses all forms of intellectual property globally, including existing and future rights, registered or unregistered, such as copyrights, patents, trademarks, and design rights.
  • Payment Sum: The total amount you instruct us to pay to a designated recipient as part of a Payment Order, which may include wage payments.
  • Client Verification Procedures: Our processes for identifying and verifying the identity of our clients.
  • Member: An individual who possesses a Billr Rewards Account, potentially a director, shareholder, partner, or principal within the client's business.
  • Designated Recipient: The individual or entity you specify in a Payment Order to receive the Payment Sum.
  • Partner Benefits: Incentives or rewards offered by a partner in the Billr Rewards scheme, which you can access by redeeming Billr Points.
  • Billr Points: Loyalty points issued under the Billr Rewards program to the designated individual linked with a Billr Account.
  • Billr Rewards: Our loyalty scheme that allows you to accumulate Billr Points as an individual member.
  • Billr Rewards Partner: A third-party offering its loyalty program, with whom we've partnered to allow our clients to redeem Billr Points for their rewards. This includes, but is not limited to, airlines like Qantas and Singapore Airlines.
  • Payment Order: A directive you issue via the platform to execute a payment to a Designated Recipient, which you finance using your Approved Card or Linked Bank Account.
  • Billr Rewards Conditions: The set of terms governing the Billr Rewards program.
  • Platform: Comprises both the website and the underlying software that facilitates access to and use of our services.
  • Contact Information: The details you provide us for communication purposes.
  • Premium Services: The suite of services accessible to customers who opt for the premium subscription, including enhanced account management, capped travel points booking services, and strategic advice for maximising point accumulation.
  • Fee Schedule: Our public listing of charges for services, accessible via the website, subject to changes over time.
  • Privacy Policy: The policy outlining how we handle personal data, available on our website and subject to updates.
  • Restricted Sector: Industries that are not permitted to use our platform, as listed and updated on our website.
  • Forbidden Transaction: Any payment linked to a Restricted Sector or associated with any illegal or improper activities.
  • Standard Services: Services available to clients with a standard subscription, which may include capped travel points booking and strategic point maximisation advice.
  • Rewards Scheme: A third-party program offering points or benefits in connection with the use of an Approved Card.
  • Guidelines: The set of policies and procedures related to the services and platform, which address matters not covered in these Terms or provide additional details on included matters. These are published on the website and are subject to modifications.
  • Services: All services we offer to you, detailed in these Terms under ‘Our Services’ and any other services we may provide.
  • Strategic Consultation: Our service offering advice on leveraging rewards programs for your business's benefit.
  • Subscription Charge: The periodic fee for service subscriptions, as outlined in the Fee Schedule and subject to adjustments.
  • Approved Card: A credit card that is eligible for use

Our Services

Billr offers a comprehensive suite of services, which encompass:
  • Services for processing payments.
  • A service dedicated to handling payments related to employment.
In addition, Billr extends a Rewards Program available to registered members, which operates under the specific terms of the Billr Rewards Program.

Billr Payment Platform 

Our interface facilitates payment processing, enabling you to utilise your authorised card to transfer funds to us. We then remit the specified amount to designated recipients who may not typically accept your card or bank account directly. This process provides an opportunity to accrue reward points on transactions that might not typically offer them. Additionally, we can carry out payments on your behalf directly from a linked bank account through our interface.
The interface is strictly for processing business-related expenses. Recipients you specify for payments must possess an Australian bank account, and the payments must be associated with business-related expenditures, such as payments to vendors, service providers, the Australian Taxation Office, or a trustee managing an employee's superannuation fund.
It is mandatory that the payments we execute on your instructions are funded by your authorised card or bank account. Our policy does not support payments made through international bank accounts, international cards, or cash transactions.

Workforce Payment Management Service

This service is delivered following the specifications outlined in Annexure 1 of the terms and conditions.
Client Qualification Criteria
Services are available exclusively to registered account holders. Eligibility to utilise the Platform and Services requires that you:
  • Reside in Australia.
  • Have the legal capacity to enter into binding contracts.
  • Possess a valid email address.
  • Have an accessible mobile phone number.
  • Maintain an active Australian Business Number (ABN).
  • Be one of the following:
    • An Australian-registered corporation.
    • A partnership.
    • An Australian government entity.
    • An association, either incorporated or unincorporated.
    • An individual aged 18 or above.
We reserve the right to decline account registration, authorise payers, or provide services at our discretion, even if these criteria are met. We may request additional information or impose further requirements as necessary to safeguard our interests.
You acknowledge and agree to the following relating employee payment services:
1. The Employer Payment Processing Service is exclusively for processing Employment Payments to your employees through the Platform.
2. Each employee receiving an Employment Payment must be based in Australia and have a valid employment contract with your business.
3. The employment agreements for these payments must fully comply with Australian law.
4. You are responsible for accurately calculating each Employment Payment, including deductions such as taxes, superannuation, and other levies.
5. Our role is confined to processing Employment Payments based on your instructions provided through the Platform.
6. Upon our request, you must promptly ensure compliance with the Rules and directives from the Valid Card Provider. This includes providing proof of compliance.
Furthermore, when requested, you are required to provide us with:
  • Proof of current employment for employees receiving payments, including relevant payroll records.
  • Records of all Employment Payments processed via the Platform.
  • Any additional information or documents needed by Billr for auditing purposes, as requested by an auditor, government agency, court, tribunal, regulator, or statutory authority in connection with our services.
You also agree to indemnify us for any costs, legal fees, and damages incurred in relation to:
  • Complying with official requests for documentation or records concerning the Employer Payment Processing Service.
  • Resolving any disputes between you and your employees regarding Employment Payments processed via the Platform.
  • Addressing any investigations or legal actions by authorities related to Employment Payments.
  • Any claims arising from your use of the Employer Payment Processing Service.

Designated Recipients for Payments

Services are intended for making payments to specified recipients. We reserve the discretion to determine acceptable categories of these recipients, which may be periodically listed on the Platform.
You can add or delete a designated recipient using the platform's features. When nominating a recipient, you're required to provide information as requested, including but not limited to:
  • Their legal and trade names, address, phone number, email, and other contact details.
  • A contact person and their specific details.
  • Bank account or other payment details for fund transfers.
  • Their ABN and ACN, if applicable.
We retain the right to accept or reject any nominated recipient without obligation to provide a rationale for such decisions.

Your Billr Account

To access our services, you need to register for a Billr account. This can be done online through our platform by filling out the required information, responding to essential questions for account opening, choosing a subscription level, and agreeing to these Terms and our Privacy Policy. We reserve the right to decline the creation of a Billr account at our discretion.
Your Billr account will allow you to sign into the platform, manage your account, utilise the services, and handle other details pertaining to your relationship with us. For instance, you can save your Valid Card or Bank Account details in your Billr account for use in each Payment Instruction.
You agree to, and will ensure that any Authorised Payer also agrees to, provide all requested information and documents to Billr in line with anti-money laundering regulations and our KYC (Know Your Customer) procedures. This helps us confirm your identity, that of any Authorised Payer, Designated Payee, or Bank Account holder, and safeguards against financial crimes. We reserve the right to keep and share this information for verification purposes. Access to certain services may be suspended or terminated based on the information we continuously collect. You authorise us to conduct necessary inquiries, directly or through third parties, to verify identities and protect against fraud.
You assure us that all information provided during the setup of your Billr account is accurate and up-to-date, and you commit to notifying us of any changes.
You are responsible for safeguarding your Billr account, including login credentials, Valid Card and Bank Account details, and all associated data, against theft, fraud, or illegal activities. You must ensure that Authorised Payers use unique passwords for our services and maintain their confidentiality.
We may require you to verify your Valid Card or Bank Account by confirming two small deposits we make into your account (ranging from $0.01 to $1.00 AUD).
You, and any Authorised Payer, must not use your Billr account, the platform, or our services fraudulently or in any manner that violates these Terms.
You are limited to maintaining a single Billr account for using the services and platform, though multiple Authorised Payers may access your account. We will assume any Payment Instruction from your Billr account is authorised by you.
We reserve the right to impose restrictions on your Billr account, including transaction limits and limitations on the Designated Payees you can transact with.

Utilising Our Services for Invoice Payments via the Platform

Our services facilitate the payment of invoice amounts to a designated payee, using either a valid card or bank account, with us acting as the intermediary for payments.
To start a payment, you'll need to issue a payment instruction through your Billr account, following the given prompts. This includes providing all necessary details for us to execute the payment to your nominated payee. Essential information includes, but is not limited to, your own details, the payment amount, reference, the payee's BSB, bank account number, or BPAY biller code. By doing this, you grant us permission to retain this information for future payment instructions. We assure you that no debits will be made from your valid card or bank account without a corresponding payment instruction.
When you issue a payment instruction, you're authorising us to make the payment on your behalf to the nominated payee. We will only proceed with this payment once we have received the complete invoice amount and any applicable fees in our account. It is your responsibility to ensure that there are enough funds or credit in your valid card or bank account to cover these costs before we act on your payment instructions.
The accuracy of the payment details you provide is your sole responsibility, and we are not liable for any payments made based on the details you have provided in a payment instruction.
We'll process your payment instruction as soon as we have the full invoice amount and our fees cleared in our account, typically within two banking days of receiving the instruction. Please note that we are not obliged to process a payment instruction before receiving cleared funds, outside of normal banking transaction times, or on days when trading banks or card schemes are closed. In such cases, the processing will occur on the next business day when the banks or card schemes are operational. We are not responsible or liable for any delays, postponements, or rejections of a payment instruction that could result in a failure to pay the nominated payee by the due date.
We reserve the right to refuse or delay any payment instruction at any stage of the transaction process, at our absolute discretion.
Should we opt not to complete a payment instruction after a payment has been initiated from a valid card or bank account, we will refund the full invoice amount. At our discretion, we may also choose to refund some, all, or none of our fees.
Please note that we do not guarantee the execution, acceptance, or recording of any payment instruction. We hold no liability for any failure, refusal, or postponement of a payment instruction. In cases of refusal or postponement, we will inform you but are not obliged to provide a detailed explanation.
Be aware that we may engage third-party service providers to facilitate a payment instruction, and you may need to agree to their terms and conditions for us to provide the service.
All payments are processed and accepted only in Australian dollars.

How We Process Payments and Manage Your Funds

The procedure for payment to a nominated payee involves you transferring the invoice amount, plus any relevant fees, to Billr via a valid card or bank account. Subsequently, Billr forwards the invoice amount to the nominated payee.
Payments made to Billr, enabling us to carry out your payment instructions, will be reflected in your valid card statements as purchases from Billr.
You acknowledge and consent that Billr will charge your valid card or bank account (based on your payment instructions) for the total of the invoice amount and any associated fees.
We utilise a third-party merchant service for processing credit and debit card transactions. Our control over these third-party providers is limited, and we are not accountable for any delays in processing a payment instruction that may arise due to these third-party services, including our merchant facility or your valid card's issuer.
Once we receive funds related to a payment instruction, these funds become our property. We do not hold any funds on your behalf, in trust or otherwise. Our commitment to execute a payment instruction and transfer the invoice amount to the nominated payee is a contractual obligation to you. Legally, we have no further obligations regarding the payment instruction or invoice amount received.
All funds received from customers may be amalgamated in Billr’s bank accounts. We do not segregate your funds from those of other customers. By these terms, any payment we receive from you becomes our property.

Cancelling or Refunding Payments

You can cancel or reverse a payment instruction through your Billr account before 09:00 AM (Perth Time) on the day after the payment instruction was submitted.
Once a payment to a nominated payee has been processed through our third-party merchant facility, it cannot be stopped or reversed. If we reverse a payment instruction or issue a refund for any payment received, the refund amount will be limited to the invoice amount. Fees related to the stopped or reversed payment instruction will not be refunded if they have already been charged to your valid card.
You accept that any transfer of the invoice amount by us, as per a payment instruction, is carried out on your behalf. Should you have a dispute with the nominated payee following the processing of a payment instruction, it is your responsibility to recover any desired amount from the payee. You absolve and indemnify us from any disputes or claims arising from a payment to the nominated payee, including claims of payments not being due. Any fees you've paid to us for a disputed payment are not subject to refund.
Be aware that any disputed or reversed invoice amount paid to us, or which we are required to refund as per the valid card issuer's request, might not be forwarded or might be reclaimed from the nominated payee. If a payment to the nominated payee is stopped, recalled, or recovered by us, you might still be obligated to pay the invoice amount to the payee as per your agreement with them. Should we be unable to recall or recover disputed or reversed funds, you are liable to pay any outstanding amounts due to us, which may include, but are not limited to, fees for processing the relevant payment instruction.

Chargebacks and Reversals

You recognise that if the funds you transfer to Billr for the completion of a Payment Instruction are not received by us in full, or are in any way reversed or charged back, we might endure losses or damages. These could amount to at least the invoice amount and fees associated with the relevant Payment Instruction.
Within the bounds of the law and in accordance with the agreements Billr has with its banking and merchant facility providers, you agree to abstain from initiating a credit card chargeback or reversing any payments made to Billr that pertain to a Payment Instruction you have issued.
You undertake to indemnify Billr against all losses, costs, expenses, or damages we incur directly or indirectly due to any payment you make to Billr, or Billr makes on your behalf, in instances where a Payment Instruction is reversed, charged back, or not received by Billr.
You agree to the following conditions:
  • We may, at our absolute discretion, charge your valid card or bank account for the amounts you have indemnified under these terms.
  • If necessary, you will provide Billr with suitable security against potential losses which we might incur and for which you are responsible under these terms.
  • If we request, you will ensure that you, your directors, officers, or any related third party, provide us with a separate guarantee and indemnity (on our specified terms) to secure the fulfilment of your obligations under these terms.

Your Valid Card

It's your responsibility to ensure that the issuing entity (like a bank or card issuer) of your valid card will process payments as needed to execute a Payment Instruction you've authorised.
Billr is not responsible for any failures by the entity issuing your valid card. You acknowledge that the issuer may restrict the use of your valid card for transactions through our Platform. You are liable for any expenses, damages, or losses we incur due to misuse, unauthorised, or non-permitted use of your valid card, and you must reimburse these amounts to Billr.
By submitting a Payment Instruction, you're considered to have granted us unconditional authorisation to debit or charge your valid card with the invoice amount and any associated fees.
You must ensure that your Payment Instruction, its purpose, and the Nominated Payee comply with the conditions of your valid card, including any issuer-imposed restrictions on using the card for finance-related, debt-related, or illegal activities.
We are not responsible for fraudulent or unauthorised use of your valid card. Should your valid card be lost, stolen, or compromised in any way, you must immediately inform us by emailing support@billr.com.au. Upon receiving such notification, you authorise us to take necessary actions to cancel any pending Payment Instructions made with that card, and we may decline to accept new Payment Instructions using the compromised card.

Your Bank Accounts

Customers can link multiple bank accounts to their Billr account, provided they:
  • Have the authority to access and use each bank account, especially for any eligible payments made through the platform.
  • Confirm their authority to access and use these bank accounts.
  • Accept and agree to the current terms of service.
Billr reserves the right to decline the addition of a bank account and may impose conditions or restrictions on a customer's ability to link a bank account at our sole discretion.
You are responsible for verifying the accuracy of any bank account details you link to your Billr account. You assert and guarantee that you have the right to access and use any bank account you connect to your Billr account. You acknowledge that any payments made from your bank account to us, including those for completing a Payment Instruction under a direct debit agreement, and the subsequent payment to the Nominated Payee, are conducted based on your instructions and on your behalf. You are responsible for these transactions.
Billr is not accountable for any fraudulent or unauthorised use of a bank account. Should your bank account be compromised, you must promptly inform us by emailing support@billr.com.au. Upon receiving such notification, you authorise us to take the necessary steps to halt any pending Payment Instructions involving that bank account, and we reserve the right to reject new Payment Instructions that utilise the compromised account.

Fees

You agree to pay the fees levied by Billr, which may vary from time to time.

Transaction Fees

For every Payment Instruction you issue, Billr will impose a fee. This fee will be added to the invoice amount charged to your valid card. Depending on your subscription level, the fees may vary as outlined in the current Pricing Schedule.

Other Fees

The Billr platform is exclusively for business use. It must not be used for any non-business purposes, including but not limited to activities associated with prohibited industries, investment, trading, gambling, or other high-risk uses such as money laundering or terrorism financing. You must not use the platform for prohibited payments or to pay yourself. If you represent a company, you must not use the platform for payments to subsidiaries, related entities, shareholders, or directors.

Customer Representations

You declare and guarantee that:
  • You will use the website, services, and platform in line with these terms.
  • If you are an individual, you are at least 18 years old and capable of forming a legally binding contract.
  • If you are a corporation, you are duly registered and have the authority to agree to these terms, and any person acting on your behalf has the necessary authorisation.
  • All authorised payers appointed by you are valid, and you will promptly inform Billr if someone ceases to be an authorised payer.
  • You are not using anonymous networks to access the website, platform, or services.
  • All information you have provided is accurate, current, and complete, and you will promptly inform us of any changes.
  • You will disclose any issues that might affect these terms or your ability to adhere to them.
  • You have complied and will continue to comply with all relevant laws, including anti-money laundering, counter-terrorism financing, and data protection regulations.
  • Your use of the website, platform, and services, including submitting Payment Instructions, does not violate any third-party rights or laws.
  • You are authorised to initiate Payment Instructions and use the valid cards and bank accounts.
  • You will not use the website or platform for prohibited payments, illegal activities, money laundering, tax evasion, or financing terrorist activities.
  • You will not use the website or platform to pay for undelivered goods or services or for transactions that contravene the terms of your valid card.
  • You have consistent internet access and agree to receive information, including notifications, via the website or platform. We may also contact you at the email address linked to your Payment Instruction. It is your responsibility to keep your contact details updated and to check for communications from us.

Your Relationship with Billr

Regarding our payment processing services, you recognise that our main function is to receive payments from you and/or an authorised payer through your valid card(s) and/or bank account(s), and to forward the invoice amount to a nominated payee as per your payment instruction. It is important to note that Billr is not:
  • Acting as a trustee on your behalf.
  • Your partner, employee, agent, or joint venture partner.
  • In any way responsible for the delivery of goods or services by nominated payees or for the management of a reward programme.
Please be aware that Billr is neither a bank nor a financial institution and does not hold an Australian Financial Services Licence.

Reward Programmes

Billr allows you to utilise your valid card for payments through the platform, enabling you to earn reward points from relevant reward programmes associated with your card. We do not assume any responsibility or offer warranties for the benefits you may accumulate from these reward programmes.
We cannot be held accountable for any failures related to your valid card or the reward programme. There is no guarantee that loyalty points will be earned through each payment instruction. The availability and extent of benefits, including reward points, from using your valid card will depend on the specific terms and conditions of the applicable reward programme and your card.
We do not represent, promote, or act as agents for third-party reward programmes. It is your responsibility to understand and adhere to the terms and conditions of any reward programme.
The information we provide about reward programmes, including that on our website, is sourced from third parties. We are not responsible for any inaccuracies or misinformation provided by these third-party sources.

General Terms of Use

You, and any other person you authorise, including authorised payers, must not:
  • Use or access the website, platform, or services in a manner that violates our intellectual property rights or those of others.
  • Employ anonymous networks or protocols to access the website, platform, or services in any way other than through our provided interfaces.
  • Combine or integrate the website or platform with any other content, data, or material.
  • Attempt to decompile, reverse engineer, disassemble, rent, lease, loan, sell, sublicense, or determine the source code or processes used by the website or platform.
  • Engage in activities that damage, disrupt, or interfere with the proper operation of the website or platform.
  • Introduce viruses, Trojans, worms, bots, logic bombs, or other harmful software to the website or platform.
  • Place an unreasonable load on the infrastructure of the website or platform.
  • Distribute spam or bulk communications using the website or platform.
  • Transmit materials containing harmful computer codes through the website or platform.
  • Impersonate any person or entity.
  • Use the website, platform, or services for illegal purposes, including money laundering or terrorism financing.
  • Engage in systematic or automated data collection activities in relation to the website or platform.
  • Use the website, platform, or services in a way that could damage our reputation.

Suspension and Termination of Your Billr Account

We reserve the right to suspend or terminate your Billr account or your access to the platform, or to refuse our services to you at any time without prior notice if we suspect a breach of these terms or any applicable laws. The suspension or termination of your Billr account does not waive the fees or other dues you owe us. Should your account be suspended, all associated payment instructions will be immediately cancelled and no further payment instructions will be accepted.

No Guarantee

We strive to deliver the website, platform, and services effectively, reliably, and securely. However, we do not assure or guarantee that:
  • The website, platform, or services, or any accessible information or material, will be uninterrupted, timely, reliable, secure, error-free, or free of viruses, worms, trojan horses, or other harmful components.
  • There will be continuous operational stability, availability, or continuation of the website, platform, or services.
  • The website, platform, or our computer systems are immune to hacking.
  • Your use of the website, platform, and services will not infringe on any third party's rights.
Additionally, the website, platform, and services may be suspended or discontinued at our discretion and may become inaccessible due to various factors like maintenance, internet or network outages, equipment failure, or a force majeure event. We are not obliged to inform you about any malfunctions or service limitations.

Limitation of Liability

We are not liable for any damages or interruptions caused by computer viruses, spyware, scareware, Trojan horses, worms, or other malware, nor for phishing, spoofing, or other attacks. Regular use of reputable virus screening and prevention software is recommended.
While we strive to ensure error-free services and platforms, we do not warrant their infallibility. Our liability to you for any loss or damage is limited to reasonably foreseeable consequences directly arising from our breach of these terms or other legal errors, with liability (in any form) limited as per these terms.
Our liability, including that of our affiliates or service providers and their respective officers, directors, agents, employees, or representatives, is capped at the invoice amount of the disputed payment instructions. We are not accountable for late payment fees or other charges imposed by nominated payees or others due to your platform use.
We are not responsible for any failures or issues arising from recommended reward programs or provided information. We are also not liable for any tax implications or liabilities stemming from your use of the services.
Always log into your Billr account through the platform for authenticity verification, and ensure the same for authorised payers. Our liability limitations are subject to our legal obligations, where we cannot exclude our duty to exercise reasonable care and skill in providing the platform and services. In such cases, our liability is limited to resupplying the service or the cost of resupplying it, as legally permissible.

Indemnity

You provide indemnity to Billr, along with its directors, officers, shareholders, advisers, consultants, agents, employees, and contractors (each referred to as an 'Indemnitee') against all liabilities, claims, losses, and expenses (collectively, 'Losses') that may arise directly or indirectly due to your non-compliance, or an Authorised Payer's non-compliance, with these terms. This includes consequential losses and legal fees incurred in defending or responding to such Losses. This indemnity applies even if a Payment Instruction was made in error but does not cover Losses caused by fraud or intentional misconduct by Billr. You also agree to indemnify Billr for any Losses incurred due to unauthorised use of your information or provision of incorrect details, including but not limited to information related to a Valid Card or Bank Account. We are not obliged to pursue recovery or enforce rights against any third parties before claiming indemnity under these terms.

Privacy

We will collect, use, and store your personal data in line with our Privacy Policy, subject to changes over time. By agreeing to these terms, you explicitly permit us to share your personal and payment information with Nominated Payees and with banks, card issuers, payment processors, rewards or loyalty programs, or service providers used by Billr for operating the platform or providing our services.

Intellectual Property

You acknowledge Billr's ownership of all intellectual property rights in your Billr account and the platform. You have no intellectual property rights in these. You grant Billr a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, sublicensable right to use the copyright, publicity, and database rights (but no other rights) in the information you provide us, across all media forms, to enable us to provide our services efficiently.

When contacting us, please provide your name, address, and any other relevant information to help us identify you, your Billr account, and the specific transaction in question. Any notice from us is considered received on the third banking day after it's posted.

Variations to Terms

We may modify these terms with a 7-day advance notice via the platform or other means. By continuing to use the platform and services after this period, you accept the revised terms. We may also change these terms immediately without notice to maintain the security and integrity of the platform, services, or any Billr account, to comply with legal requirements, or to manage technical or system issues.

Miscellaneous

Third-party terms and conditions might apply to certain services, and you must agree to these to receive our services. The information on our website or platform is not intended as financial, legal, tax, or accounting advice. You should seek professional advice as required. You're responsible for all tax implications related to the services, including any rewards or loyalty programs. 
We may transfer our agreement with you without your consent and without notice, while you cannot transfer this agreement without our consent. These terms are governed by the laws of Victoria, Australia, and both parties submit to the jurisdiction of its courts for any related disputes. If any part of these terms becomes unenforceable under any jurisdiction's law, the remaining terms will still apply.
